Overview
As a Senior Consultant in Financial Due Diligence, you will play a crucial role in delivering insightful analysis for mergers and acquisitions (M&A) transactions. You will be responsible for conducting thorough financial due diligence to help clients make informed decisions about potential investments, mergers, or disposals. Key tasks include evaluating the financial health of target companies, identifying potential risks, and providing recommendations based on your findings.
Job description:
- Participate in buy-side and sell-side transaction advisory projects, offering financial due diligence support, as well as accounting advisory services.
- Conduct comprehensive analysis of financial statements, profitability trends, cash flow dynamics and overall business performance.
- Identify and evaluate key financial and operational risks, and provide clients with strategic recommendations.
- Calculate and assess key financial metrics such as adjusted EBITDA, net debt, and net working capital. Assist clients in understanding how adjustments influence the purchase price.
- Collaborate with cross-functional teams (tax, legal, advisory) to deliver comprehensive insights to clients.
- Present findings in clear, concise reports and presentations for senior stakeholders.
- Formulate and review key financial definitions for net debt, working capital, and other relevant metrics in the SPA.
- Advise on the inclusion of indemnities, warranties, and protective clauses, ensuring that the terms reflect the findings from financial due diligence.
- Maintain strong client relationships and contribute to business development by identifying new opportunities.
Qualification:
- Strong background in financial analysis, accounting, or corporate finance.
- Proficiency in calculating and interpreting adjusted EBITDA, net debt, and net working capital, and understanding how these adjustments influence transaction terms.
- Excellent communication skills, with the ability to translate complex financial data into actionable insights.
- Proven experience in M&A transaction services, or financial advisory.
- Strong project management skills and the ability to work under tight deadlines.
- High level of attention to detail and the ability to manage multiple priorities.
